Overview & Acceptance

Welcome to DeePay ("InvoiceFlow", "we", "us", or "our"). These Terms of Service ("Terms") govern your access to and use of our invoicing software, developer APIs, quote conversion tools, customer payment portals, and associated web services. By creating an account, registering a workspace, generating API keys, or using DeePay, you agree to be bound by these Terms and our Privacy Policy.

1. Account & Workspace Registration

To utilize DeePay, you must register an account and establish one or more Workspaces. You agree to provide accurate, complete, and updated registration details, including company name, valid business email, and billing currency (default: South African Rand - ZAR).

You are solely responsible for maintaining the confidentiality of your workspace login credentials and API keys. You accept full responsibility for all activities, invoices, quotes, and transactions generated under your workspace accounts.

2. Plans & Quotas

DeePay provides distinct subscription tiers with the following specifications:

  • Free Plan: Includes 10 Invoices and 10 Quotes created per calendar month, 1 active workspace seat, and unlimited API Key requests. Monthly document quotas automatically reset on the 1st day of every calendar month.
  • Pro Plan (R159/month): Includes unlimited monthly invoices and quotes, up to 10 workspace member seats, multi-template layouts, custom branding, real-time webhooks, and removal of platform watermarks.
  • Unlimited API Requests: All plans feature unlimited REST API requests via verified API keys, subject to fair usage and non-abusive automated traffic patterns.

3. Payment Processing & Gateway Integrations

DeePay integrates with third-party payment gateways (including Ozow Instant EFT and direct local bank transfer remittance). DeePay is not a bank or credit institution. We facilitate invoice presentation, payment notification callbacks, and customer portal reconciliation.

You are responsible for compliance with gateway terms and verifying payment confirmations before dispatching physical goods or providing professional services to your clients.

4. Developer API & Webhooks Usage

Workspaces may generate secret API keys and configure webhook endpoints for automated billing workflows. You agree:

  • Never to expose raw API keys in client-side code or public source repositories.
  • To handle webhook signatures to verify authenticity of incoming event payloads.
  • Not to engage in denial-of-service, excessive crawling, or security probing of DeePay API infrastructure.

5. User Data Ownership & POPIA Compliance

You retain all right, title, and interest in your customer records, line item catalogs, tax invoices, and financial records. We process personal and transactional information strictly in accordance with the Protection of Personal Information Act (POPIA) of South Africa.

6. Termination & Workspace Suspension

You may cancel your subscription or terminate your workspace at any time via the Settings console. DeePay reserves the right to suspend or terminate accounts that engage in fraudulent invoicing, spam, or abuse of the service.

7. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of South Africa.
